COMPONENT DESIGN CONSULTING AGREEMENT

Component Runner, LLC and the Customer hereby acknowledge and agree as follows: (1) The Customer's job order, purchase order, or request for services for each separate project (hereinafter collectively referred to as the "Agreement" ), upon acceptance by Component Runner LLC , shall constitute a "written contract" under the laws of the applicable state where the project is taking place, regardless of whether submitted by the Customer to Component Runner LLC in writing, via e-mail communications, or via an on-line order through the website of Component Runner LLC. The Agreement shall cover all services, all work product, and all materials subsequently rendered by Component Runner LLC with respect to said project. The Agreement shall be subject to the mechanic's lien statute for the relevant jurisdiction, including without limitation, a mechanic's lien under Massachusetts General Laws Chapter 254 with respect to projects for properties situated within the Commonwealth of Massachusetts. Agreement shall constitute a "written contract" for the provision of labor and materials in connection with the erection, alteration, repair or removal of a building, structure or or other improvements to real property within the meaning of Massachusetts General Laws Chapter 254. (2) In the event that the Customer breaches its obligations with respect to an Agreement, including without limitation, a failure by the Customer to make payments in a timely manner, Component Runner LLC shall be entitled to recover interest in the amount of twelve percent (12%) from the original due date for each payment, together with all attorneys fees incurred in enforcement of the Agreement, and all other costs of collection. (3) The Agreement shall be binding upon and inure to the benefit of Component Runner LLC and the Customer, and their respective legal representative, successors in interest, and assigns. (4) If any term of the Agreement is held by a court of competent jurisdiction to be invalid or unenforceable, then the Agreement, including all of its terms will remain in full force and effect as if such unenforceable term had never been included. (5) The Agreement shall be construed and enforced in accordance with the laws of the Commonwealth of Massachusetts, except that the Agreement shall be subject to the mechanic's lien statute for the applicable jurisdiction where the project is situated. (6) The Agreement and all incorporated attachments represents the complete agreement between Component Runner LLC and the Customer. No other agreements or understandings, whether written or oral, including proposals or quotations, shall be considered as part of the Agreement. (7) Component Runner, LLC acts as a consultant on any/all projects and cannot be held responsible for any errors regardless of fault. (8) All work performed by Component Runner, LLC is the sole property of the Customer and is mandatory that the Customer reviews all content from Component Runner, LLC for accuracy, prior to manufacturing of product.
